AGI Automations provides data governance, automation, and AI operating system consulting services, including but not limited to:

• Data & AI Strategy Intensive (6-8 week program)
• Full Data Infrastructure Program (6-month engagement)
• Executive AI Infrastructure (enterprise-level transformation)
• Related consulting and advisory services

Specific service terms will be outlined in individual service agreements or statements of work.

3. Service Agreements

Discovery Calls

Initial discovery calls are provided at no charge for the purpose of assessing fit and discussing potential engagement. These calls do not constitute a commitment to provide services.

Paid Services

All paid services are subject to a separate written agreement that will specify:

• Scope of work and deliverables
• Timeline and milestones
• Fees and payment terms
• Specific terms and conditions
• Guarantee terms (where applicable)

4. Fees and Payment

Pricing

Service fees are as quoted in your service agreement. All fees are in GBP (£) unless otherwise stated.

Payment Terms

• Payment schedules will be outlined in your service agreement
• Invoices are due within 30 days unless otherwise agreed
• Late payments may be subject to interest charges
• We reserve the right to suspend services for non-payment

• Client cooperation and timely provision of required information

5. Client Obligations

To receive our services effectively, you agree to:

• Provide accurate and complete information
• Grant necessary access to systems, data, and personnel
• Respond to requests and attend scheduled meetings
• Implement agreed-upon recommendations in good faith
• Maintain confidentiality of proprietary methodologies
• Comply with all applicable laws and regulations

6. Intellectual Property

Our IP

All methodologies, frameworks, templates, and materials provided by AGI Automations remain our intellectual property. This includes:

• Proprietary frameworks (Data Infrastructure Playbook, AI Infrastructure Playbook, Agentic Operating System)
• Assessment tools and templates
• Training materials and documentation
• Software tools and systems

You receive a limited, non-exclusive license to use these materials for your internal business purposes only.

Client IP

You retain all rights to your pre-existing intellectual property, data, and business information. We will not use your confidential information except as necessary to provide services.

Work Product

Deliverables created specifically for you (reports, strategies, implementations) become your property upon full payment, subject to our retention of underlying methodologies and frameworks.

7. Confidentiality

Both parties agree to maintain the confidentiality of information shared during the engagement. We will not disclose your:

• Business strategies and plans
• Financial information
• Technical systems and data
• Customer information
• Other proprietary business information

Exceptions include information that is: (a) publicly available, (b) required by law to be disclosed, or (c) necessary to provide the services.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid for those services
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for losses resulting from your failure to implement recommendations
• We are not liable for decisions made based on our advice or recommendations

Professional Services Disclaimer: Our services provide strategic advice and recommendations. Implementation decisions and outcomes are ultimately your responsibility. We do not guarantee specific business results, though we stand behind our guarantee terms where applicable.

9. Warranties and Disclaimers

Our Warranties

We warrant that:

• Services will be performed with reasonable skill and care
• We have the necessary expertise to provide the services
• Our work will conform to industry professional standards

Disclaimers

Except as expressly stated, services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability, fitness for particular purpose, and non-infringement.

10. Termination

By Either Party

Either party may terminate services by providing 30 days written notice.

For Cause

Either party may terminate immediately if the other party:

• Materially breaches these Terms
• Fails to make payment when due
• Becomes insolvent or bankrupt

Effect of Termination

• You must pay for all services provided up to the termination date
• We will deliver all completed work product
• Confidentiality obligations continue after termination
• Refunds (if any) will be calculated per your service agreement

11. Indemnification

You agree to indemnify and hold AGI Automations harmless from any claims arising from:

• Your use of our services
• Your breach of these Terms
• Your violation of any law or third-party rights
• Your implementation of recommendations

12. Dispute Resolution

Good Faith Negotiation

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good faith negotiation.

Mediation

If negotiation fails, disputes should be submitted to mediation before litigation.

Governing Law

These Terms are governed by the laws of England and Wales. Any legal proceedings shall be brought in the courts of England and Wales.

13. Website Use

Acceptable Use

You may not:

Availability
